Trump Administration Cancels BOI Reporting Requirement for Most Businesses

Sunday, March 2, 2025 – The Financial Crimes Enforcement Network (FinCEN) has announced that it will no longer enforce penalties or fines related to Beneficial Ownership Information (BOI) reporting under existing regulations.

This decision comes following a directive from the Trump administration, which deemed the Biden-era BOI reporting requirements both unnecessary and intrusive to American businesses—a position with which we agree.

Under the new guidance, FinCEN will not impose penalties or fines on U.S. citizens, domestic reporting companies, or their beneficial owners for non-compliance with BOI reporting rules.

Additionally, the Department of the Treasury has stated that it will propose new rulemaking to limit BOI reporting requirements to foreign reporting companies only. This means that domestic entities will no longer be required to file BOI reports.

At this time, there is no clarification on whether domestic entities that have already submitted BOI reports will need to take any further action. We await updates as more information becomes available.
